Terms of Service

Read the Schoolyst Terms of Service. Understand the rules and guidelines for using our platform.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Schoolyst ("Schoolyst," "we," "us," or "our") governing your access to and use of the Schoolyst website, software platform, APIs, documentation, and related services (collectively, the "Services").

By creating an account, clicking "I agree," accessing the Services, or using any part of the platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, Cancellation Policy, and, where applicable, our Data Processing Agreement.

If you are accepting these Terms on behalf of a school, institution, or other organization, you represent and warrant that you have the authority to bind that organization. In that case, "you" and "your" refer to that organization.

1. Eligibility and Account Registration

You must be at least 18 years of age and capable of forming a binding contract to register for a Schoolyst account. Institutional accounts must be created by authorized representatives of the educational institution.

When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your account information.
  • Keep your login credentials confidential and secure.
  • Notify us immediately of any unauthorized access or security breach.
  • Accept responsibility for all activities conducted under your account.

We reserve the right to refuse registration, suspend, or terminate accounts that violate these Terms or pose a security or legal risk.

2. Description of Services

Schoolyst is a cloud-based school management platform that helps educational institutions manage operations including, but not limited to:

  • Student information and academic records
  • Attendance tracking
  • Examination and grading management
  • Fee management and payment tracking
  • Parent-teacher communication
  • Staff and administrative workflows
  • Reporting, analytics, and institutional dashboards

Features may vary by subscription plan. We may add, modify, or discontinue features with reasonable notice where practicable. The Services are provided on an "as available" basis, subject to scheduled maintenance and factors outside our reasonable control.

3. Free Trial and Subscriptions

3.1 Free Trial

New customers may access a 30-day free trial of the Services without providing payment information, unless otherwise stated at signup. The trial provides access to features as described on our Pricing page for the selected plan.

During the trial:

  • You may explore the platform and set up your school workspace.
  • No subscription fees are charged unless you voluntarily upgrade to a paid plan before the trial ends.
  • At the end of the trial, access may be limited or suspended unless you subscribe to a paid plan.

3.2 Paid Subscriptions

Paid plans are billed in advance on a monthly or annual basis, as selected during checkout. By subscribing, you authorize us (or our payment processor) to charge the applicable fees, taxes, and recurring charges to your designated payment method.

Subscription fees are non-refundable except where expressly stated in our Cancellation Policy or required by applicable law. Pricing is displayed on our website and may change with notice before your next renewal.

3.3 Taxes

Fees are exclusive of applicable taxes, levies, or duties (including GST), which will be added to invoices where required by law. You are responsible for all such taxes except those based on Schoolyst's net income.

4. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose.
  • Upload, store, or transmit content that infringes intellectual property rights, violates privacy rights, is defamatory, obscene, or contains malware.
  • Upload student or personal data without proper authority, consent, or legal basis from the data controller (the school).
  • Attempt to gain unauthorized access to the Services, other accounts, or related systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except where prohibited by law.
  • Scrape, crawl, or use automated means to access the Services without our prior written consent.
  • Resell, sublicense, or provide the Services to third parties except as expressly permitted for institutional use.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use the Services to send unsolicited bulk communications (spam).
  • Misrepresent your identity, affiliation, or authority to act on behalf of an institution.

We may investigate violations and take appropriate action, including content removal, account suspension, or termination, without prior notice where necessary to protect users or comply with law.

5. Institutional Responsibilities

If you are a school or educational institution using Schoolyst, you are solely responsible for:

  • Determining the lawful basis for processing student, staff, and parent data.
  • Obtaining all required consents, permissions, and notices from students, parents, guardians, and staff.
  • The accuracy, quality, and legality of data you upload or manage through the platform.
  • Configuring user roles and access permissions appropriately within your organization.
  • Complying with applicable education, child protection, and data protection laws in your jurisdiction.
  • Informing your community that Schoolyst processes data on your behalf as described in our Data Processing Agreement.

6. Data Protection and Privacy

Our collection and use of personal data is described in our Privacy Policy. For institutional customer data, the Data Processing Agreement forms part of these Terms and governs our processing of personal data on your behalf.

You acknowledge that Schoolyst may process account, usage, and security data as a controller for platform operations, while processing school-uploaded records as a processor acting on your instructions.

7. Intellectual Property

7.1 Schoolyst Property

The Services, including all software, designs, text, graphics, logos, trademarks, documentation, and underlying technology, are owned by Schoolyst or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

7.2 Your Content and Institutional Data

You retain all rights to data, content, and materials you or your authorized users upload to the Services ("Customer Data"). You grant Schoolyst a limited, non-exclusive, worldwide license to host, copy, transmit, display, and process Customer Data solely to provide and improve the Services, comply with law, and enforce these Terms.

Upon termination, you may export Customer Data during any applicable retention period described in our Cancellation Policy. We do not claim ownership of your institutional records.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Schoolyst a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.

8. Third-Party Services

The Services may integrate with or link to third-party products such as payment gateways, email providers, or analytics tools. Your use of third-party services is governed by their terms and privacy policies. Schoolyst is not responsible for third-party services and does not endorse them.

9. Service Availability and Support

We aim to maintain high availability of the Services and provide support through email, help center, and other channels described on our website. Unless otherwise agreed in writing, support and uptime commitments for paid plans are provided on a commercially reasonable basis and not as a guaranteed service level agreement, except where a separate SLA is executed.

We may perform scheduled maintenance with advance notice where possible. Emergency maintenance may occur without notice to address security or critical issues.

10. Suspension and Termination

10.1 Termination by You

You may cancel your subscription at any time as described in our Cancellation Policy. Cancellation stops future billing but does not entitle you to refunds for fees already paid.

10.2 Termination by Schoolyst

We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees when due, engage in fraudulent or abusive activity, or if required by law. We will provide notice where practicable and an opportunity to cure non-payment or curable breaches, except where immediate action is necessary.

10.3 Effect of Termination

Upon termination, your right to access the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Schoolyst does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components. Schoolyst is not responsible for decisions made by schools based on reports or data in the platform. The Services are administrative tools and do not replace professional educational, legal, or financial advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCHOOLYST, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCHOOLYST'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SCHOOLYST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 10,000.

Some jurisdictions do not allow certain limitations of liability. In such cases, the above limitations apply to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Schoolyst and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms.
  • Customer Data you upload or process through the platform.
  • Your violation of applicable law or third-party rights.
  • Failure to obtain required consents for student or personal data.

14. Confidentiality

Each party may receive confidential information from the other in connection with the Services. The receiving party agrees to protect confidential information using at least the same degree of care it uses for its own confidential information and not to disclose it except to employees, contractors, or advisers who need to know and are bound by confidentiality obligations, or as required by law.

15. Force Majeure

Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or utility failures, or widespread cloud infrastructure outages, provided the affected party uses reasonable efforts to mitigate the impact.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, subject to any mandatory consumer protection laws in your jurisdiction that cannot be waived.

Before initiating formal proceedings, the parties agree to attempt to resolve disputes in good faith through negotiation by contacting legal@schoolyst.in for at least thirty (30) days.

17. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. For material changes affecting paid subscribers, we will provide at least thirty (30) days' notice via email or in-app notification before changes take effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services and cancel your subscription.

18. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, Cancellation Policy, DPA, and any order or plan selection, constitute the entire agreement between you and Schoolyst regarding the Services.
  • Severability: If any provision is held invalid, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any provision is not a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No agency: Nothing in these Terms creates a partnership, joint venture, or employment relationship.
